PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING DANNYTALKS. BY DOWNLOADING, INSTALLING, OR USING THE APP, THE SUPERVISING PARENT OR GUARDIAN AGREES TO THESE TERMS ON BEHALF OF THEMSELVES AND THE CHILD IN THEIR CARE. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE APP.
1. About DannyTalks and These Terms
1.1 Who We Are
DannyTalks is an AI voice application developed and published by D4N1 Technologies Pty Ltd ("D4N1 Technologies," "we," "our," or "us"), a company incorporated in Australia, with its registered address at 81–83 Campbell Street, Surry Hills, NSW 2010, Australia.
1.2 What DannyTalks Is
DannyTalks is designed to help children practise and develop conversational skills through real-time, AI-generated voice interactions. The app is intended for use as an educational resource and is distributed exclusively through the Apple iOS App Store.
1.3 These Terms
These Terms of Service ("Terms") govern your access to and use of DannyTalks, including any content, features, and functionality offered through the app. These Terms apply to:
- Parents and guardians ("you") who download and supervise use of the app; and
- Children who use the app under the supervision of a parent or guardian.
These Terms should be read together with our Privacy Policy, which is incorporated herein by reference and describes how we handle data in connection with the app.
1.4 Agreement on Behalf of Your Child
Because DannyTalks is designed for children, we require a parent or guardian to agree to these Terms before allowing a child to use the app. By permitting a child to use DannyTalks, you represent that:
- you are the parent or legal guardian of the child;
- you have read and understood these Terms and our Privacy Policy; and
- you consent to the child using the app in accordance with these Terms.
2. Eligibility and Parental Consent
2.1 Age Requirement
DannyTalks is intended for use by children under adult supervision. Children under the age of 13 in the United States (or the applicable age of digital consent in your jurisdiction — for example, 16 in certain EU member states, or 13 in Australia) must have verifiable parental or guardian consent to use this app.
2.2 Parental Responsibility
You, as the supervising parent or guardian, are responsible for:
- Supervising your child's use of the app, particularly when adult-gated areas of the app are being accessed;
- Ensuring the app is used in a manner consistent with these Terms; and
- Monitoring and managing the app's content and conversation history on the child's device.
2.3 Adult Age Gate
Certain areas of DannyTalks are restricted to adult supervision and require an age verification check. The age value entered at this gate is used solely for the purpose of that single verification check. It is not stored on the device, transmitted to our servers, or retained in any form once the check is complete.
3. Educational Purpose and Important Limitations
3.1 Educational Resource Only
DannyTalks is developed and intended to be used solely as an educational resource or educational tool to support the development of conversational skills in children. The app may be used in educational settings and may complement therapeutic contexts including, but not limited to, speech therapy, occupational therapy, counselling, psychology, or other allied health disciplines.
3.2 Not a Medical or Allied Health Product
DannyTalks is NOT developed by, endorsed by, affiliated with, or approved by any medical professional, allied health professional, therapist, psychologist, governing body, or regulatory authority. Nothing in the app constitutes medical advice, therapeutic advice, clinical assessment, or any form of professional health guidance.
3.3 No Substitute for Professional Support
THE APP MUST NOT BE USED AS A SUBSTITUTE OR REPLACEMENT FOR FACE-TO-FACE ALLIED HEALTH SUPPORT, THERAPY, MEDICAL TREATMENT, OR ANY OTHER FORM OF PROFESSIONAL CLINICAL CARE. If your child is working with a speech therapist, occupational therapist, psychologist, counsellor, or any other allied health professional, DannyTalks should only be used as a supplementary educational resource and never in place of professional care.
3.4 No Guarantee of Outcomes
We make no representations, warranties, or guarantees — express or implied — that using DannyTalks will result in any improvement in conversational ability, communication skills, developmental outcomes, therapeutic progress, or any other educational or health-related benefit. Results, if any, will vary between individual users.
4. Use of the App and User Conduct
4.1 Permitted Use
DannyTalks is licensed to you (and your child) for personal, non-commercial, educational use only, subject to these Terms. You may not use the app for any unlawful, harmful, or unauthorised purpose.
4.2 Voice Inputs and User Responsibility
The app accepts verbal (voice) inputs from the user to enable conversational interactions. You, as the supervising parent or guardian, acknowledge and agree that:
- D4N1 Technologies takes no responsibility for the nature or content of any voice input submitted to the app by the user;
- it is your responsibility as the supervising adult to ensure that appropriate and suitable inputs are made by the child; and
- you will supervise the child's use of the app and the inputs they provide in a manner consistent with the child's age, maturity, and needs.
4.3 Safety Guardrails
D4N1 Technologies has implemented robust safety guardrails designed to ensure that AI-generated responses delivered through the app are appropriate for children. We take the safety of our young users extremely seriously. However, we cannot guarantee that every AI-generated response will be entirely free of error, and we encourage parents and guardians to remain engaged with their child's use of the app.
4.4 Prohibited Conduct
You agree not to, and will take reasonable steps to ensure your child does not:
- Use the app for any purpose other than the educational purpose for which it is intended;
- Attempt to circumvent, disable, or interfere with the app's safety guardrails or any security features;
- Reverse engineer, decompile, or attempt to extract the source code of the app;
- Use the app to generate, transmit, or encourage any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; or
- Attempt to gain unauthorised access to our backend systems, servers, or databases.
4.5 Conversation History and Transcript Accuracy
DannyTalks stores conversation history, including transcripts of voice interactions, locally on your physical device. While we make best efforts to ensure the highest level of transcript accuracy possible, the accuracy of any conversation transcript generated by the app may be affected by a number of factors outside our control, including but not limited to:
- background noise or ambient sound in the user's environment;
- microphone quality or the proximity of the device to the speaker;
- speech clarity, pronunciation, or accent variations; and
- the inherent limitations of automated speech-to-text processing.
Accordingly, D4N1 Technologies makes no representation or warranty, express or implied, as to the accuracy, completeness, or reliability of any conversation transcript stored on the user's device. Conversation transcripts should not be relied upon as a verbatim or legally accurate record of any interaction. D4N1 Technologies accepts no responsibility or liability for any loss, misunderstanding, or harm arising from inaccuracies in conversation transcripts generated through the app.
5. AI Models and Data Processing
5.1 How AI Processing Works
DannyTalks uses AI models developed and maintained by D4N1 Technologies Pty Ltd to process voice inputs in real time and generate conversational responses. When a user speaks into the app, their voice input audio is transmitted to our AI models for processing. The model returns a response, which is then delivered to the user through the app.
5.2 Our AI Infrastructure
All AI processing within DannyTalks is performed by AI models hosted on our cloud server infrastructure. All AI processing remains within our controlled environment, subject to our privacy practices and security controls as described in our Privacy Policy.
5.3 Transient Processing
Voice input data transmitted to our AI models is processed transiently and in real time for the sole purpose of generating a conversational response. Input data is not written to persistent storage at any point during or after AI processing, is not used to train or fine-tune any AI model, and is not shared with any third party for any purpose. Once a response has been generated, the input data is immediately discarded and is not retained in any form.
5.4 Compliance and Data Handling Standards
All AI processing performed by our models is conducted in compliance with applicable privacy laws, including the Children's Online Privacy Protection Act (COPPA), the General Data Protection Regulation (GDPR), and UK GDPR. Our cloud server infrastructure is subject to the same access controls, encryption standards, and security measures described in our Privacy Policy.
6. Subscriptions, Free Trials, and Billing
6.1 Subscription Requirement
Access to the full features of DannyTalks requires an active in-app subscription billed at the displayed in-app price on a monthly or yearly basis. The subscription is managed through Apple's in-app purchase system. We reserve the right to periodically review and adjust subscription prices at any time, with sufficient notice given to our users.
6.2 Free Trial
A free trial is available to new users. One free trial is available per user. Eligibility for a free trial is determined by Apple based on the Apple ID associated with the device making the purchase. If you do not cancel before the free trial period ends, the subscription will automatically convert to a paid subscription at the applicable price.
6.3 Payments Handled by Apple
All subscription purchases, billing, renewals, upgrades, and refund requests are handled exclusively by Apple through the Apple App Store and Apple's in-app purchase system. We do not process, receive, or store any payment information. When you make a purchase, your payment details are submitted directly to Apple and are governed by Apple's own policies.
6.4 Subscription Entitlement
Upon a successful subscription transaction, Apple provides our backend server with a unique non-personally identifiable Transaction ID to confirm the purchase. Our backend stores only this Transaction ID for the sole purpose of verifying your entitlement to use the app. We do not store your name, email address, Apple ID, payment details, or any other personally identifiable information.
6.5 Managing, Cancelling, and Refunds
You may manage, pause, or cancel your subscription at any time through your Apple ID settings on your device. To manage your subscription on iOS, go to Settings > [Your Name] > Subscriptions and select DannyTalks.
Cancellation prevents future automatic renewals but does not entitle you to a refund for the current billing period unless Apple's refund policies apply. All refund requests must be submitted directly to Apple. We do not have the ability to issue refunds for App Store purchases.
7. Privacy and Data
7.1 Our Privacy Commitment
We have designed DannyTalks with a privacy-first approach. The app does not require account registration to use, does not ask for personally identifiable information from children or adults, and allows users to use the app entirely anonymously.
7.2 Conversation History
Conversation history is stored only on the user's physical device (local storage) and is never transmitted to or stored on our servers or any remote database. You may delete conversation history at any time through the app's settings.
7.3 No User Tracking or Analytics
The app does not collect any user analytics and does not track users' behaviour or usage patterns within the app.
7.4 Advertising Attribution (COPPA-Compliant)
We use Apple's SKAdNetwork framework, solely for the purpose of measuring the effectiveness of our paid user acquisition campaigns. This is an aggregated, privacy-preserving attribution solution that does not collect personally identifiable information or device identifiers linked to individual users.
7.5 Full Privacy Policy
For full details of our privacy practices, please refer to our Privacy Policy, available within the app. Our Privacy Policy is incorporated into these Terms by reference.
8. Intellectual Property
8.1 Ownership
DannyTalks and all of its content, features, design, graphics, logos, software, and underlying technology — including our AI models — are the intellectual property of D4N1 Technologies Pty Ltd and are protected by applicable copyright, trademark, and intellectual property laws.
8.2 Limited Licence
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to download and use the app on an Apple iOS device that you own or control, for personal, non-commercial, educational use only.
8.3 Restrictions
You may not copy, reproduce, distribute, publicly display, modify, create derivative works of, reverse engineer, decompile, or otherwise exploit any part of the app, its content, or its AI models without our prior written consent.
9. Disclaimers and Limitation of Liability
9.1 App Provided "As Is"
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT.
9.2 AI-Generated Content
AI-generated responses are produced by our AI models and, while we have implemented robust safety guardrails, we do not warrant that all AI-generated responses will be error-free, accurate, or suitable for every individual child's circumstances. The app should always be used under adult supervision.
9.3 No Medical or Therapeutic Warranty
We expressly disclaim any representation or warranty that the app is medically appropriate, clinically validated, or suitable as a therapeutic tool. The app is an educational resource only.
9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, D4N1 TECHNOLOGIES PTY LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR ANY HARM ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you in respect of any claims arising out of or in connection with these Terms or the app shall not exceed the total subscription fees paid by you (through Apple) in the twelve (12) months preceding the event giving rise to the claim.
9.5 Voice Input Liability
D4N1 Technologies accepts no liability for the content of any voice input submitted to the app by any user, including the child. You, as the supervising parent or guardian, accept full responsibility for the nature of inputs submitted during the child's use of the app.
9.6 Conversation Transcript Accuracy
WE MAKE NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONVERSATION TRANSCRIPT GENERATED OR STORED BY THE APP. Transcript accuracy may be materially affected by environmental factors including background noise, microphone quality, speech clarity, and the inherent limitations of automated speech-to-text processing. While best efforts are made to deliver the highest accuracy possible, conversation transcripts should not be relied upon as a verbatim, authoritative, or legally accurate record of any interaction. D4N1 TECHNOLOGIES ACCEPTS NO RESPONSIBILITY OR LIABILITY WHATSOEVER FOR ANY INACCURACIES IN CONVERSATION TRANSCRIPTS OR FOR ANY LOSS, MISUNDERSTANDING, HARM, OR OTHER CONSEQUENCE ARISING FROM RELIANCE ON SUCH TRANSCRIPTS.
10. Indemnification
You agree to indemnify, defend, and hold harmless D4N1 Technologies Pty Ltd and its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your use or your child's use of the app in violation of these Terms;
- any voice input submitted to the app by you or your child; or
- your violation of any applicable law or the rights of any third party.
11. Term, Termination, and Suspension
11.1 Term
These Terms remain in effect for as long as you use the app or maintain an active subscription.
11.2 Termination by You
You may stop using the app at any time and uninstall it from your device. Managing or cancelling your subscription must be done through Apple ID settings (see Section 6.5).
11.3 Termination by Us
We reserve the right to suspend or terminate your access to the app, without notice or liability, if we reasonably believe you have violated these Terms or applicable law.
11.4 Effect of Termination
Upon termination, your licence to use the app ceases immediately. Sections that by their nature should survive termination (including Sections 8, 9, 10, 13, and 14) will remain in effect.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or app functionality. If we make material changes, we will notify you through a notice within the app and update the "Last Updated" date at the top of these Terms. We encourage you to review these Terms periodically.
Continued use of the app after any updated Terms take effect constitutes your acceptance of those changes. If you do not agree with any changes, please stop using the app and uninstall it.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.
13.2 Dispute Resolution
We encourage you to contact us in the first instance to resolve any concerns informally. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
13.3 International Users
If you are accessing the app from outside Australia, you agree that Australian law governs these Terms, and you consent to the jurisdiction of the courts of New South Wales, Australia, for any disputes. Where mandatory consumer protection laws in your jurisdiction provide greater protections, those laws will apply to the extent required.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and D4N1 Technologies with respect to the app and supersede all prior agreements or understandings relating to the same subject matter.
14.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment
We may assign our rights and obligations under these Terms without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.
14.5 Apple as Third-Party Beneficiary
You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
14.6 Compliance with Apple App Store Rules
Your use of the app is also subject to Apple's App Store Terms of Service. In the event of any conflict between these Terms and Apple's App Store Terms, Apple's terms will prevail solely with respect to the distribution and purchase of the app.
